Scope of Service

  • Clearing of the proposed name of the company.

  • Preparing incorporation documents in the same form as our standard incorporation documents.

  • Filing of incorporation documents with the registrar of companies.

  • Provision of one nominee shareholder and two directors for incorporation purposes only.

  • Holding of the first meetings of the directors and preparing minutes thereof.

  • Provision of the common seal.

  • Delivery of one incorporation certificate, one set of the incorporation documents, up to four share certificates and one copy of the minutes of the first meeting of the directors.

Service Fee

  • USD 200 payable in advance.

Basic Company Administration

Scope of Service

  • Provision of the company secretary and registered office.

  • Accepting notices, orders and other official process.

  • Safekeeping of the common seal.

  • Maintaining statutory registers.

  • Preparing and filing of annual returns.

Service Fee

  • USD 400 per year or any part thereof payable annually in advance.

  • USD 60 per hour or any part thereof if time scale for providing this service should exceed one hour in any month.

Full Company Administration

Scope of Service

  • Provision of basic company administration services.

  • Provision of one nominee shareholder and one professional director.

  • Holding of meetings of the directors and members of the company and preparing minutes thereof.

  • Administration of the company in accordance with the provisions of its governing law and corporate statutes but excluding all accounting compliance requirements.

Service Fee

  • USD 700 per year or any part thereof payable annually in advance.

  • USD 120 per hour or any part thereof if time scale for providing this service should exceed one hour in any month.

  • Provision of professional directors.

  • Provision of senior company officers.

  • Provision of assistant company secretaries.

Service Fees

  • USD 150 per year or any part thereof for each professional director.

  • USD 120 per year or any part thereof for each senior company officer.

  • USD 90 per year or any part thereof for each nominee shareholder.

  • USD 60 per year or any part thereof for each assistant company secretary.

Ancillaries

Scope of Services

  • Drafting of custom incorporation documents.

  • Preparing documents required to be filed when making changes to the incorporation documents of a company and at the time of the merger, consolidation, arrangement, continuation, redomiciliation, or dissolution of a company.

  • Filing of documents (other than at incorporation of company), providing extracts from public records and obtaining duplicates of certificates.

  • Certification of documents by Notary Public or The Hague Apostille.

  • Printing duplicates of company statutes and other documents.

Service Fees

  • USD 150 per hour or any part thereof for drafting documents.

  • USD 120 per hour or any part thereof for preparing documents.

  • USD 90 per hour or any part thereof for filing documents, providing extracts from public records and obtaining duplicates of certificates.

  • USD 60 per document certified by Notary Public or The Hague Apostille.

  • USD 2 per page for printing duplicates of documents.

Government Fees

Registration and annual filing fees for companies are as follows:

  • Private ordinary company USD 100

  • Private exempt company USD 200

  • Public ordinary company USD 400

  • Public exempt company USD 600
