Scope of Service

• Clearing of the proposed name of the limited partnership.

• Preparing a limited partnership agreement in the same form as our standard limited partnership agreement.

• Filing of the declaration of the limited partnership with the registrar of limited partnerships.

• Delivery of one registration certificate, one copy of the declaration, and one copy of the limited partnership agreement.

Service Fee

• USD 300 payable in advance.

Basic Limited Partnership Administration

Scope of Service

• Provision of the office for service.

• Accepting notices, orders and other official process.

• Maintaining statutory registers.

• Preparing and filing of annual statements.

Service Fee

• USD 600 per year or any part thereof payable annually in advance.

• USD 60 per hour or any part thereof payable monthly in arrears if time scale for providing this service should exceed one hour in any month.

Full Limited Partnership Administration

Scope of Service

• Provision of basic limited partnership administration services.

• Provision of one corporate general partner.

• Holding of meetings of the general and limited partners of the limited partnership and preparing minutes thereof.

• Administration of the limited partnership in accordance with the provisions of its governing law and limited partnership agreement but excluding all accounting compliance requirements.

Service Fee

• USD 1,900 per year or any part thereof payable annually in advance.

• USD 120 per hour or any part thereof payable monthly in arrears if time scale for providing this service should exceed one hour in any month.

Ancillaries

Scope of Services

• Drafting of custom limited partnership agreements.

• Preparing documents required to be filed at the time of the redomiciliation or termination of a limited partnership.

• Filing of documents (other than at establishment of limited partnership), providing extracts from public records and obtaining duplicates of certificates.

• Certification of documents by Notary Public or The Hague Apostille.

• Printing duplicates of limited partnership agreements and other documents.

Service Fees

• USD 150 per hour or any part thereof for drafting documents.

• USD 120 per hour or any part thereof for preparing documents.

• USD 90 per hour or any part thereof for filing documents, providing extracts from public records and obtaining duplicates of certificates.

• USD 60 per document certified by Notary Public or The Hague Apostille.

• USD 2 per page for printing duplicates of documents.

Government Fees

Fees for the registration of the declaration of a limited partnership and for filing of its annual statement are as follows:

• Ordinary limited partnership USD 100

• Exempt limited partnership USD 200
